MERGERS AND ACQUISITIONS

Mergers and Acquisitions

Mergers and acquisitions (M&A) and corporate restructuring are areas of corporate finance, management and strategy dealing with purchasing and/or joining with other companies.

In a merger, two companies agree to combine their operations into a single entity.

In an acquisition, one company purchases another company, and may sell off operations, merge them into similar groups in the purchasing company, or close facilities or cancel products altogether.

There usually are two primary motivations for companies to acquire or merge:
1. To fill a strategic gap in the company’s product, resources and capabilities
2. To help the company enter a new market

Knowing the “Value Drivers” of the deal is an important factor driving the success. A huge amount of time will be spent on due-diligence to identify the sources of value from the deal. It is essential to structure the deal to maximize the identified value drivers. This is where the business lawyers at SSP work with you to develop a plan for a successful deal. Or, if after conducting our due diligence, we may recommend that you walk away.

Mergers and acquisitions can get complicated fast. At SSP, we offer strategic solutions when navigating mergers and acquisitions to help structure the most successful deal possible that meets your objectives. This means producing legal documents that will both protect and drive your business forward.
